Terms & Conditions

1. Definitions

  • CSP or Partner means an individual or entity registered on the Highring CSP Portal to refer companies to Highring.
  • Sub-CSP means a CSP registered under another CSP (Parent CSP), limited to one level.
  • Referred Company means any company introduced by a CSP that subsequently registers and uses Highring's services.
  • Commission means the percentage payout earned on Net Revenue generated by a Referred Company.
  • Net Revenue means the actual revenue received by Highring, excluding taxes, refunds, and statutory deductions.
  • Portal means the Highring CSP Portal and associated dashboard.

2. Eligibility & Registration

  • Any individual or business entity may register as a CSP on the Portal by providing accurate identity, contact, and payout details.
  • Highring reserves the right to approve, reject, or suspend any CSP registration at its sole discretion, including for incomplete information or suspected fraudulent activity.
  • A CSP must be at least 18 years of age and legally entitled to enter into this agreement.
  • Registration on the Portal does not constitute an employment relationship, agency, partnership, or joint venture between the CSP and Highring. The CSP acts strictly as an independent referrer.

3. Scope of the CSP Program

1. A CSP may refer companies that are not already existing Highring clients to use Highring’s recruitment vendor management platform.

2. Upon referral, the CSP may track, via the Portal:

  • The status of each Referred Company (active, in discussion, onboarded, or churned)
  • The number of positions posted and closed by each Referred Company
  • Commission earned, commission paid, and outstanding balance

3. Highring retains sole discretion over onboarding, pricing, contracting, and account management of any Referred Company. The CSP’s role is limited to introduction and referral.

4. A referral is considered valid only if the Referred Company was not already in active discussion with Highring at the time of referral, as determined by Highring’s internal records.

4. Sub-CSP Structure

  • Parent CSPs may invite Sub-CSPs.
  • A CSP (“Parent CSP”) may invite and register Sub-CSPs under their account through the Portal.
  • The Sub-CSP structure is limited to one (1) level only. A Sub-CSP may not further create or register additional Sub-CSPs under themselves.
  • Each Sub-CSP independently refers companies and is responsible for their own referrals, subject to the same eligibility and conduct requirements as any CSP under these Terms.
  • Highring is not responsible for any private arrangement, dispute, or agreement between a Parent CSP and its Sub-CSP outside of the commission structure defined in these Terms.

5. Commission Structure

  • The total commission payable on Net Revenue generated by a Referred Company is ten percent (10%).
  • Where a Referred Company is brought in directly by a CSP with no Sub-CSP involved, that CSP earns the full 10% commission.
  • Where a Referred Company is brought in by a Sub-CSP, the commission is split as follows:
    1. Sub-CSP earns five percent (5%) on Net Revenue from their own Referred Company
    2. Parent CSP earns five percent (5%) override on the same Net Revenue, for having onboarded the Sub-CSP
  • Commission is calculated on Net Revenue actually received by Highring, not on the gross value of any position or contract.
  • Commission accrues for twelve (12) months from the date a Referred Company is onboarded onto Highring, provided the Referred Company continues to actively use Highring’s platform or services during that period.
  • If a Referred Company discontinues use of Highring’s platform or services at any point (“churn”), commission accrual for that Referred Company stops from the date of churn. No further commission will be payable on that account beyond the date of churn, regardless of the original 12-month window.
  • Highring reserves the right to revise the commission percentage for future referrals by providing thirty (30) days’ written notice via the Portal or registered email. Revised rates will not apply retroactively to Referred Companies already onboarded prior to such notice.

6. Payout Terms

  • Commission becomes payable sixty (60) days from the date a candidate placed through a Referred Company joins, allowing for completion of the standard joining/probation verification period.
  • Payouts are processed monthly, subject to a minimum payout threshold as displayed on the Portal from time to time.
  • All payouts are made via bank transfer to the account details provided by the CSP during registration. The CSP is solely responsible for ensuring such details are accurate and up to date.
  • The CSP is solely responsible for any applicable income tax, GST (if applicable), or other statutory obligations arising from commission earned. Highring may deduct applicable TDS (Tax Deducted at Source) as required under Indian law before disbursing payouts.
  • In the event of any discrepancy in commission calculation, the CSP must raise a written query within thirty (30) days of the payout date. Highring’s internal records and calculations shall be final and binding in the absence of demonstrable error.

7. CSP Conduct & Obligations

  • The CSP shall not make any representation, warranty, or commitment on behalf of Highring to any prospective client without Highring’s prior written consent.
  • The CSP shall not misrepresent Highring’s pricing, services, or commission structure to any third party.
  • The CSP shall not engage in spamming, unsolicited bulk communication, or any conduct that could harm Highring’s brand or reputation while referring companies.
  • The CSP shall maintain confidentiality of all non-public information accessed via the Portal, including but not limited to commission data, client information, and Sub-CSP earnings.
  • Any breach of this Section may result in immediate suspension or termination of the CSP’s account and forfeiture of unpaid commission, at Highring’s sole discretion.

8. Term, Withdrawal & Termination

  1. This agreement remains in effect from the date of registration until terminated by either party in accordance with this Section.
  2. A CSP may withdraw from the Program at any time by providing thirty (30) days’ written notice via the Portal or registered email.
  3. Commission already accrued and earned prior to the effective date of withdrawal shall remain payable in accordance with Section 6, subject to the Referred Company continuing to use Highring’s services.
  4. Highring may suspend or terminate a CSP’s account immediately, without notice, in cases of fraud, misrepresentation, breach of Section 7, or any unlawful conduct.
  5. Upon termination for cause (fraud, misrepresentation, or breach), any unpaid commission may be withheld at Highring’s sole discretion pending investigation.

9. Intellectual Property

1. All trademarks, logos, content, and materials provided by Highring for use in referral activity remain the exclusive property of Highring.

2. The CSP is granted a limited, non-exclusive, non-transferable license to use such materials solely for the purpose of referring companies to Highring, for the duration of their active participation in the Program.

10. Limitation of Liability

1. Highring shall not be liable for any indirect, incidental, or consequential loss arising from the CSP’s participation in the Program, including loss of anticipated commission due to a Referred Company’s decision not to proceed, or churn.

2. Highring’s maximum liability to any CSP under these Terms shall not exceed the total commission actually earned and payable to that CSP in the preceding three (3) months.

11. Amendments

1. Highring reserves the right to amend these Terms at any time. Material changes will be communicated via the Portal or registered email at least fifteen (15) days in advance.

2. Continued use of the Portal after such notice constitutes acceptance of the amended Terms.

12. Governing Law & Dispute Resolution

1. These Terms shall be governed by and construed in accordance with the laws of India.

2. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at [City, State - to be specified by Highring].

3. Parties shall first attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days before initiating any legal proceedings.
